Direct Counsel is representing an Am Law 100 firm seeking a junior to mid-level Associate for its Corporate Finance Practice in Minneapolis.

Position: Corporate Finance Associate
Location: Minneapolis, MN (Hybrid)

Compensation: $205,000 - $260,000 per year

Position Summary:
This is an excellent opportunity for a Corporate Finance Associate (3–6 years) to join a highly regarded Corporate Finance Practice. The role offers exposure to a broad range of sophisticated finance transactions, representing both lenders and borrowers in complex deals, including syndicated credit facilities, acquisition financings, and private credit facilities. Associates in this group receive meaningful responsibility, direct client contact, and opportunities to work on matters across industries and jurisdictions.

Key Responsibilities:

  • Represent lenders and borrowers in finance transactions, including syndicated credit facilities, acquisition financings, and private credit facilities.

  • Draft, review, and revise key finance documents, including credit agreements, debt commitment letters, security agreements, and closing deliverables (secretary’s certificates, resolutions, legal opinions, schedules, exhibits).

  • Manage deal processes and ensure timely, accurate completion of transactions.

  • Interact directly with clients, providing strategic legal and business advice.

  • Collaborate with colleagues across practice groups, supporting a team-oriented environment.

Qualifications:

  • Juris Doctor (J.D.) from an accredited law school.

  • 3–6 years of relevant experience in finance or corporate law, with substantial exposure to finance transactions.

  • Experience in lender and borrower representations strongly preferred.

  • Prior work with private equity sponsors and portfolio companies beneficial.

  • Strong academic credentials, superior drafting skills, and excellent attention to detail.

  • Admission to one or more state bars required.

  • Proactive, team-oriented, and able to take significant responsibility for client interaction and deal management.
